Anthropic files S-1 with the SEC – Nasdaq IPO planned

What is known

According to TechCrunch, Anthropic has filed for an initial public offering and plans to list under the ticker "ANT". According to the prospectus, the company recorded revenue of $16.3 billion in the first half of 2026, up from $1.2 billion in the same period last year. The operating loss was $693 million and the net loss $80.7 billion, which TechCrunch reports was largely driven by noncash accounting adjustments tied to convertible debt. According to The Decoder, the operating GAAP profit in the second quarter was $974 million.

Governance

According to TechCrunch, the seven co-founders are to control 50.1 percent of voting power through a "Founder LLC". The Long-Term Benefit Trust is to appoint most of the board. As TechCrunch describes it, voting power is therefore not proportional to economic ownership.

Context

For German companies that use Anthropic models, the IPO is mainly a signal about the provider's stability. It remains open how the controlled voting structure could affect investors and product decisions. The prospectus names neither an offering volume nor a share price.
